Welcome to Signal Depth. These Terms of Service (“Terms”) govern your access to and use of the Signal Depth website, consulting services, and marketing analytics SaaS platform (collectively, the “Services”).

By clicking “I Agree,” signing a Statement of Work, or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Description of Services

Signal Depth provides marketing analytics consulting and a proprietary SaaS platform designed to analyze aggregated revenue and spend data. Our Services are intended for business use only.

2. Eligibility and Accounts

  • Account Creation: To access certain features, you must create an account. You agree to provide accurate, current, and complete information.
  • Security: You are responsible for safeguarding your account credentials. Signal Depth requires Two-Factor Authentication (2FA) for internal access, and we strongly encourage users to maintain high security standards on their end.
  • Unauthorized Use: You must notify us immediately at [email protected] if you suspect any unauthorized use of your account.

3. Data Privacy and Processing

Your privacy and data security are central to our operations. Our relationship regarding data is governed by two key documents:

  • Privacy Policy: Our Privacy Policy explains how we handle your personal information as a visitor or lead.
  • Data Processing Addendum (DPA): For our SaaS users, the Data Processing Addendum is hereby incorporated by reference. It governs how we process the aggregated revenue and spend data you upload to our servers. By using the SaaS platform, you agree to the terms of the DPA.

4. User Content and Data

  • Ownership: You retain all ownership rights to the data you upload (e.g., CSV files containing revenue and spend data).
  • License to Signal Depth: You grant us a limited, non-exclusive license to process your data solely to provide the Services, generate insights, and perform the analytics requested.
  • Aggregated Data: We do not sell your data. We may, however, use anonymized, de-identified, and aggregated data to improve our internal algorithms and platform performance.

5. Fees and Payment

  • Consulting: Fees for consulting services will be outlined in a separate Statement of Work (SOW).
  • SaaS Subscriptions: Subscription fees are billed in advance. All fees are non-refundable unless otherwise stated or required by law.
  • Taxes: You are responsible for all applicable taxes associated with your use of the Services.

6. Prohibited Conduct

You agree not to:

  • Upload data that contains sensitive personal information (e.g., Social Security numbers, health records, or individual credit card numbers).
  • Reverse-engineer, decompile, or attempt to extract the source code of the Signal Depth platform.
  • Use the Services for any illegal purpose or in violation of any local, state, or federal laws.

7. Intellectual Property

All software, designs, logos, and “thought leadership” content provided on the Signal Depth website are the intellectual property of Signal Depth or its licensors. You are granted a limited, revocable license to use the platform during your subscription period.

8. Limitation of Liability

To the maximum extent permitted by law, Signal Depth shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill, arising out of your use of the Services. Our total liability for any claim shall not exceed the amount paid by you to Signal Depth in the 12 months preceding the claim.

9. Termination

  • By You: You may cancel your account at any time. Upon cancellation, your data will be deleted from our active systems as outlined in our Privacy Policy.
  • By Us: We reserve the right to suspend or terminate your access if you breach these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Chicago, Illinois.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our site and updating the “Last Updated” date.
